Business asset sale: 5 checks for a creditor in France
Informational guide. An independent qualified legal review has not been completed.
Subject to statutory conditions, a creditor of a business seller can oppose payment of the sale price within ten days of the last required publication. The opposition must state matters including the claim's amount and basis and the required elected address. It preserves the price rather than automatically establishing or paying the claim. The trigger is not simply the sale signature date.

Start with the practical sectionWhich priority checks protect the preparation?
This ranking prioritises preserving the route, then its effect on sale proceeds. It concerns a seller’s creditor, rather than preparing the seller’s business sale. Signing and publication have different roles.

Find every relevant publication before choosing the starting event.
Period and service
L141-14 provides ten days after the last publication; have counting and the required method checked.

What does a sale signed before publication show?
In the fictional case, signing occurs on 1 October but publication later. The file compares publication dates and identifies the last required one for examination. Signing does not replace this work.
Fictional example: signature on 1 October followed by separate publications. The pack retains both and identifies the last, without replacing the statutory trigger with signature or certifying a personal deadline.

What does opposition do to the sale price?
Opposition concerns payment of proceeds. It does not alone decide the validity or recovery of your claim. L141-17 protects third parties within its payment conditions. A buyer should not treat an assumed expired period as verification of all safeguards.

What else should you check?
Does signing always start the ten days?
No. L141-14 uses the last required publication rather than signing alone. Find all relevant publications.
Can a claim not yet due be concerned?
Yes, the text includes claims due or not within its scope. Claimant identity, grounds and exclusions still require examination.
Does a landlord have the same right for every rent claim?
No. L141-14 excludes landlords’ opposition for current or future rent. Specify the periods and basis.
Does opposition establish the claim's merits?
No. Opposition to payment does not finally decide the debt’s existence or amount.
Can the price be paid without protecting third-party rights?
L141-17 provides that certain payments do not discharge the buyer against third parties. Have conditions checked before treating proceeds as freely payable.
