Commercial agent termination in France: notify your claim
Informational guide. An independent qualified legal review has not been completed.
A commercial agent may be entitled to compensation when relations with the principal end, subject to statutory exclusions. The agent must notify the principal within one year of termination that the right will be claimed. This is separate from termination notice. The statute does not automatically guarantee two years of commission: status, circumstances and loss require examination.

Start with the practical sectionDoes the commercial-agent status apply to your activity?
An independent commercial agent negotiates and, where applicable, concludes contracts for the principal within that status. Find the agreement and actual activity. An employed sales representative or ordinary service provider does not automatically qualify for commercial-agent indemnity.

How do termination notice and indemnity notification differ?
Termination notice and notification of intention to claim indemnity are different. L134-12 provides loss of the compensation right if the agent fails to notify the principal of that intention within one year after cessation. Notification is not the final valuation or necessarily court proceedings.
| Step | Purpose | Text to examine |
|---|---|---|
| Termination notice | Arrange termination in its framework | L134-11 |
| Rights notification | Intention to seek compensation | L134-12: one year |
| Valuation | Loss and supporting records | Agreement, commissions and circumstances |

Which exclusions require examination?
L134-13 contains exclusions related to serious misconduct, who initiated termination and certain transfers. Agent-initiated termination requires examining exceptions, including circumstances attributable to the principal or age, infirmity or illness within the text’s conditions.

What does a rights-notification example show?
The fictional letter states the intention to claim compensation. In an actual file, identify the relationship and cessation, then keep sending and receipt evidence. Do not substitute an unexplained commission table for explicit notification.
Fictional example: a notification states that the agent intends to claim compensation, without asserting a commission amount. The contract, termination documents and commission records support examination of loss.

Which records may evidence loss?
Gather the agreement, relationship duration, commissions, portfolio and termination circumstances. Separate gross receipts, expenses and loss evidence. A sometimes discussed two-year commission reference is not a universal statutory tariff: the request must remain grounded in the file.

What else should you check?
Is a salaried sales representative an independent commercial agent?
No. An employed sales representative and independent commercial agent have distinct statuses. The contract title alone may be insufficient; examine actual activity.
Does the one-year notification period set compensation?
No. The period concerns notifying intention to assert the right, not a predetermined amount.
Does agent-initiated termination always exclude compensation?
Not always. L134-13 provides exceptions according to principal-attributable circumstances or certain agent situations. Have the context examined.
Must serious misconduct be examined in context?
Yes. Classifying serious misconduct and its effects requires factual examination; the phrase in a letter does not decide it.
Are two years of commission a statutory tariff?
No. L134-12 provides compensation for loss without a universal two-year lump sum. Valuation requires examination of the file.
