French equipment finance-rental: ending the contracts

For a French equipment-financing rental operation, read the related contracts, their dates and the event relied upon together. Disappearance of a contract and interdependence can affect the others under the applicable legal conditions. A breakdown or supplier liquidation alone does not settle the issue. Keep lapse, termination, restitution and demanded charges distinct rather than treating them as one automatic refund calculation.

Does supplier liquidation automatically stop rent?

No. Examine contract disappearance and interdependence/lapse conditions. Provider liquidation alone does not automatically stop every rental payment.

Which contracts actually form the operation?

An operation may combine equipment supply, maintenance and financing rental with different parties. First connect the agreements, dates and services.

One rental invoice does not describe the entire operation. Conversely, several documents about the same equipment do not establish every claimed legal effect without examination.

  1. Equipment or service

Agreement, delivery and actual expected service.

  2. Financing rental

Lessor, duration, instalments and financed equipment.

  3. Maintenance or linked agreement

Provider, date, possible disappearance and connection with financing.

What event caused a contract to disappear?

A contract’s disappearance must be legally identified and evidenced. Breakdown, complaint or provider liquidation should not be equated without analysis to the disappearance required for claimed lapse.

Keep decisions, exchanges, terms and chronology. The issue is not only disappointing service but what happened to the agreement and with what effects.

What does the 10 January 2024 judgment establish?

In commercial case 22-20.466, the Court recalls interdependence of contracts within an operation including financing rental and the treatment of clauses incompatible with that interdependence.

It also examines overall knowledge: because Leasecom’s contract formed part of the financing operation, the reasoning treats that company as necessarily knowing the operation. The result is partial cassation and remand, not a universal refund.

How should interdependence and knowledge of the whole operation be checked?

Article 1186 requires dependency and knowledge-of-the-operation conditions in a multi-contract operation. Distinguish necessity, impossibility of performance and determinative consent under its wording.

The January 10, 2024 judgment concerns an operation including financing rental. It does not classify every equipment rental without reading the agreements.

Why separate lapse, termination and restitution?

Caducité ends the contract and can lead to restitution under the statutory conditions. It is not interchangeable with every termination, nullity or damages claim.

How should rent and the demanded indemnity be read?

Separate accrued rent, future rent, indemnity and other charges. Connect every line to a provision and the event relied on.

A manifestly excessive or derisory contractual penalty can be moderated or increased by the judge under Article 1231-5 and its conditions, including partial performance and required notice. No automatic discount is calculated.

Do six €450 instalments automatically establish a €2,700 debt?

Six claimed €450 instalments total €2,700 arithmetically. That proves neither a payable debt nor a refund.

The fictional case keeps contracts, services and the claimed ending basis beside the total. Accurate arithmetic can accompany an unresolved legal classification.

Worked example · fictional facts

Fictional statement: six €450 instalments are claimed, totalling €2,700. The file separates that arithmetic, cited terms, services and the legal event. Neither the total nor a related contract alone establishes payment or refund entitlement.

Which records need review before any payment decision?

Useful review combines complete contracts and the statement rather than stopping at an ending notice. Decisions about payments require professional examination.

  • Contemporaneous or successive agreements and annexes.
  • Delivery, maintenance and inter-party exchanges.
  • Claimed disappearance event or decision.
  • Schedule, payments made and breakdown of claimed charges.

What else should you check?

Does supplier liquidation automatically stop rent?

No. Examine contract disappearance and interdependence/lapse conditions. Provider liquidation alone does not automatically stop every rental payment.

Is every equipment rental the same interdependent financing operation?

No. Read the operation and conditions. The judgment concerns an operation including financing rental; the equipment label is insufficient.

References : Code civil · 1186 · Cour de cassation, com., 10 janvier 2024, n°22-20.466

Is every termination-indemnity clause void?

No. Distinguish an interdependence-incompatible clause, an ending clause and a contractual penalty. Neither purpose nor conditions follow from the amount alone.

Can a court review a contractual penalty?

Yes, under Article 1231-5’s conditions, including manifestly excessive or derisory penalties. There is no automatic percentage discount.

Did the 2024 judgment order a universal refund?

No. The judgment orders partial cassation and remand in its case. It does not refund every rental payment under every linked agreement.
