French group cash pooling: agreements and limits
Calling companies a group does not by itself validate a French cash-pooling arrangement. The ordinary banking exception depends on capital links conferring effective control. Each company’s interests, authority and form-specific related-party rules also need examination. A simple interest calculation validates none of those conditions and supplies no universal permitted rate. Keep legal scope and declared financial terms separate.

Which banking exception must be established?
Habitual credit operations fall within the banking monopoly subject to statutory exceptions. The intragroup treasury exception does not follow merely from calling an agreement ‘group’ cash pooling.
The ordinary case here uses capital links conferring effective control. Other Article L511-7 branches, including specified bodies, are not treated as the same linked-business case.

Which capital links demonstrate effective control?
The text requires direct or indirect capital links giving one linked undertaking effective control over the others. Common directors or a common individual shareholder alone do not establish that relationship between undertakings.
Document the chain, rights and actual control conferred. An isolated percentage, including fifty percent, should not become automatic validation.
| Element | Record | Question |
|---|---|---|
| Capital links | Ownership chart and titles | Which direct or indirect link? |
| Control power | Relevant rights and agreements | Which undertaking effectively controls the others? |
| Scope | Agreement parties | Does the link cover each party? |

How should each company’s interests be distinguished?
Each company remains managed in its own corporate interest. Banking-monopoly permission alone does not validate every transaction term.
Compare needs, limits, fund availability, risks and remuneration for each party. Read the agreement company by company rather than assuming collective benefit resolves everything.

Who may authorise and sign the agreement?
Check signing powers and the relevant agreement procedure for each company. They depend on legal form, people concerned and transaction nature.
Keep relevant decisions and reports beside the signed version. Another group company’s template proves neither current signing authority nor approvals.

Which rules differ between SARL, SAS and SA?
SARL, SAS and SA do not follow identical procedures. Compare the relevant-party provisions, exceptions and constitutional documents with the file.
| Form | Governance point to examine | Reference |
|---|---|---|
| SARL | Report and shareholder decision within scope | L223-19 and L223-20 |
| SAS | Report and decision under rules and constitutional terms | L227-10 and L227-11 |
| Board-governed SA | Prior approval within scope and exceptions | L225-38 and L225-39 |

What differs for ordinary-course operations on normal terms?
Ordinary-course transactions on normal terms have express exceptions within the relevant regimes. Establish both characteristics rather than simply describing a transaction as usual.
SA also has the text’s specific wholly owned-company exception. An approval exception removes neither corporate-interest review nor the banking exception’s scope requirements.

How should declared financial terms be read?
The calculation concerns simple interest on stated principal, annual rate, days and contractual basis. It selects no market or tax-acceptable rate.
Distinguish 360 and 365 bases, period and any compounding. The worksheet does not model floating rates, compound interest or other financing charges.

What does €123.29 interest establish in the cash-pooling example?
€50,000 at three percent annually for thirty days on a 365 basis produces €123.29 after display rounding. Rate and basis are expressly fictional assumptions.
The result proves neither effective control, corporate interest nor regular approval. Those questions retain separate records and analysis.
Fictional stated terms for illustration:€50,000,3% annually, thirty days and a 365-day basis. Simple interest is €123.29. The calculation proves neither effective control, corporate interest nor tax acceptability of the rate.

Which records need updating before an operation or legal change?
Changed ownership, rights, management or financial terms may require rereading the file. Keep agreement and decision versions.
The source check uses Article L511-7 applicable on 14 October 2026; a version end is recorded for 20 November 2026. Use or publication reaching that date requires a fresh applicable-text check.

What else should you check?
Do shared directors alone establish the banking exception?
No. The provision requires capital links conferring effective control between linked undertakings. A common director alone does not prove that framework.

Does a fifty-percent holding always establish sufficient control?
No. A share percentage is not an automatic rule. Establish the statutory links and effective control.

Is there one permitted interest rate for every group arrangement?
This guide identifies no universal rate validating every agreement. The entered rate remains an assumption; corporate interest, terms and tax treatment need examination.

Is every ordinary-course agreement regulated?
No. The texts contain ordinary-course/normal-terms exceptions depending on form and regime. That classification needs justification.

Can every corporate form use the same approval procedure?
No. Reports, decisions, approvals and exceptions differ by form and situation. A common template does not establish regularity for every company.
