French franchise DIP: five checks before signing

Where France’s statutory disclosure regime applies, the information document and draft contract must be supplied at least twenty days before the relevant signature or pre-contract payment. The DIP provides information about the network, market and commitments; it does not guarantee profitability. Start by checking the regime’s scope and evidence of delivery, not merely whether a brochure is labelled DIP.

Does the franchise label alone establish Article L330-3 scope?

Julie Illustration

No. Scope depends on Article L330-3’s conditions, including commercial name, mark or sign use and the relevant exclusivity or quasi-exclusivity commitment.

What are the five checks before committing?

These five checks follow commitment prerequisites: scope and chronology first, economic content next. This editorial ranking measures neither network quality nor profitability.

  1. Check statutory scope

Connect brand or sign use and exclusivity with actual provisions.

  2. Reconstruct delivery, signature and payments

Read the period before the relevant commitment, including a covered advance payment.

  3. Match disclosure and draft contract

Locate documents actually communicated and their dates.

  4. Examine network, market and accounts

Check prescribed information and periods, rather than advertising alone.

  5. Document investment and open commitments

Separate stated fees, assumptions and questions requiring review.

Does the disclosure regime cover the proposed arrangement?

Article L330-3 depends, among other conditions, on making a commercial name, trademark or sign available while requiring exclusivity or quasi-exclusivity for the activity under a common-interest contract.

The label ‘franchise’ is therefore insufficient by itself. Identify the operation and actual commitments before applying the disclosure regime.

Which documents and delivery dates belong together?

The disclosure document and draft contract must be communicated at least twenty days before signature or the relevant pre-contract payment. This precedes commitment; it is not a general post-signature withdrawal period.

Keep versions and communication evidence. An announced mailing, presentation page and disclosure actually received are different events.

Which commitments should accompany a pre-contract payment?

Where money is requested before signing, including territory reservation, the text requires written consideration and reciprocal obligations in the event of withdrawal.

That record replaces neither disclosure and draft nor their prior period. Separate the payment’s purpose from its ‘reservation’ label.

What should the network and market information show?

Prescribed content includes identity, mark, history, general and local market, network and contractual information. Locate the last two annual accounts and required network-departure information within their scope.

A location map or commercial promise does not replace those records. Distinguish available data, the period described and missing documents.

How should investment, fees and draft terms be read?

Compare investment, fees and commitments with the draft. An initial cost alone does not describe duration, renewal, termination or exclusivity.

Separate contractual amounts from operating assumptions. Revenue forecasts must not become a franchisor guarantee of results.

Does signing twelve days after delivery meet the statutory reference?

Twelve days between communication and proposed signature do not reach twenty days in the fictional in-scope case. Also identify any earlier covered payment.

That calendar observation does not automatically decide nullity or compensation. Keep the documents actually supplied and circumstances in the file.

Worked example · fictional facts

Fictional qualifying case: signature is proposed twelve days after delivery of the DIP and draft contract. That does not reach the twenty-day reference. Delivery contents and any earlier payment still need checking; automatic invalidity is not inferred.

What do projections or missing information establish?

Read forecasts through their assumptions, origin and use. The official guide distinguishes mandatory information from forecasts voluntarily provided.

Identify absent or disputed information precisely. Its effect on consent and legal consequences cannot be inferred from one unchecked box.

Which records support a pre-contract review?

Pre-contract review benefits from a dated collection rather than one brochure. Include unresolved commitments.

  • Complete disclosure and draft, versions and delivery evidence.
  • Signature and advance-payment chronology.
  • Announced network, market and accounting records.
  • Amounts, exclusivity and unresolved questions.

What else should you check?

Does the franchise label alone establish Article L330-3 scope?

No. Scope depends on Article L330-3’s conditions, including commercial name, mark or sign use and the relevant exclusivity or quasi-exclusivity commitment.

Is the twenty-day rule a general post-signature cooling-off right?

No. The twenty-day period precedes signature or the covered payment. It is not a general right to cancel freely after signing.

Can a reservation payment precede the documents?

Within scope, examine documents and timing before the relevant payment. Reservation also requires written consideration and withdrawal obligations.

Does the franchisor guarantee projected turnover?

A forecast is not an automatic revenue guarantee. Examine its origin, assumptions and presentation with the file.

Does an incomplete DIP automatically invalidate the contract?

No. A gap and its effects require legal examination. This guide infers no automatic nullity, refund or compensation from absent information.
